Terms of Service
Effective Date: [2026-10-12]
Last Updated: [2026-10-12]
These Terms of Service (“Terms”) govern access to archimat.io and the ArchiMAT applications and related services that link to them (the “Services”). They form an agreement between you and ArchiMAT Inc., [CONFIRM LEGAL ENTITY AND JURISDICTION], at [BUSINESS ADDRESS] (“ArchiMAT”, “we”, “us” or “our”).
By accepting these Terms when registering, ordering or otherwise being asked to accept them, you agree to them. If you act for a company or other organization, you confirm that you have authority to bind it, and “you” includes that organization. If you do not agree, do not register for or purchase the Services.
1. What Archimat Provides
ArchiMAT helps users discover materials and solutions, organise project information, manage space and asset records, and assemble information for sustainability-related analysis and reporting through Discover, Organize and Impact.
Available features and limits depend on your plan and the functions released to your account. Descriptions of planned features are not commitments to deliver them by a particular date. The Services do not replace professional judgement, statutory approvals, independent audits or certification.
2. Eligibility and account responsibilities
You must be at least 18 and legally able to enter into this agreement. Provide accurate account and billing information, keep credentials secure and tell us promptly if you suspect unauthorised access. Each named-user account is for its authorised user unless your plan expressly permits otherwise.
You are responsible for users you authorise, their permissions and their use of your organisation’s account. Administrators may manage access and content within their authority. Ensure that any invitation, transfer or access change is authorised by the relevant organisation.
3. Plans, Subscriptions And Payment
Free allowances, paid features, billing units, included users, project or space limits, currency, taxes and payment frequency are shown in your order or checkout before purchase. A “seat” means [CONFIRM BILLABLE USER DEFINITION]; a “managed space” means [CONFIRM BILLABLE LOCATION/SPACE DEFINITION]. Adding a collaborator does not necessarily mean adding a separately billable space.
You authorise the charges expressly agreed at checkout. We will disclose any paid increase before you confirm it. [CONFIRM THIS MATCHES THE IMPLEMENTED UPGRADE FLOW.]
Where your order provides for automatic renewal, the subscription renews for the stated period until cancelled. The recurring price, renewal frequency and cancellation method will be disclosed before purchase. Cancel through [ACTUAL BILLING CONTROL] or [SUPPORT EMAIL/METHOD], subject to [DISCLOSED DEADLINE, IF ANY].
Proposed cancellation rule: Cancellation stops the next renewal and access continues until the end of the paid period. Fees already paid are not refundable except where required by law, stated in your order or otherwise provided in these Terms. [CONFIRM OR REPLACE BEFORE PUBLICATION.]This does not limit mandatory consumer cancellation or refund rights.
Changes to recurring prices take effect [AT NEXT RENEWAL OR OTHER AGREED POINT], with [NOTICE PERIOD] advance notice and an opportunity to cancel before the new price applies. Free plans and trials do not become paid subscriptions without the payment authorisation disclosed and obtained during sign-up or checkout.
If payment fails, we may notify you and restrict paid access after [CURE PERIOD]. You remain responsible for valid outstanding charges. Tax treatment and any separately purchased setup, onboarding or reporting services are specified in the relevant order.
4. Your Content And Permissions
You or your licensors retain ownership of information, documents, photographs, designs, specifications, listings and other materials you submit (“Your Content”). You grant ArchiMAT a non-exclusive licence to host, store, reproduce, format, transmit and display Your Content only as reasonably necessary to provide, secure and support the Services and carry out your authorised instructions, subject to our Privacy Policy and applicable data processing agreement.
This licence permits our service providers to perform those functions for us. It does not transfer ownership of Your Content or authorise its use in unrelated public advertising. Publication within the Services is governed by your publication choices and permissions. After termination, the licence continues only to the extent necessary for agreed export, lawful retention and deletion processes.
You confirm that you have the rights and permissions needed to upload, use and share Your Content. You are responsible for its accuracy, lawfulness and appropriate disclosure, including client confidentiality, copyright, personal information and site-security information.
5. Collaboration And Handover
You are responsible for deciding who can access a project or space and who is authorised to receive records at handover. Using the Services does not itself transfer ownership of designs, intellectual property, a building or contractual rights between project participants.
Professionals and space owners should separately agree on deliverables, handover, record ownership and continuing access. We may restrict disputed access while reasonably investigating competing claims, subject to applicable law and our agreements. We do not decide underlying ownership disputes between users.
6. Acceptable Use
You must not:
Upload unlawful, fraudulent, infringing or malicious content.
Fabricate certifications, environmental claims, reviews or evidence.
Impersonate someone or access accounts or records without permission.
Harass others, send unsolicited bulk communications or misuse contact information.
Interfere with security, introduce malware or overload the Services.
Circumvent access controls, usage limits or payment requirements.
Extract private information or systematically copy the Services in breach of applicable law or an agreed licence.
Any restriction on reverse engineering or similar activity applies only to the extent permitted by law. Report suspected misuse or infringement to [SUPPORT EMAIL], identifying the content, concern and your authority where relevant.
7. Materials, Suppliers And Third-Party Transactions
Listings, product documents, certifications and supplier claims may be provided by third parties. Unless a separate written agreement states otherwise, ArchiMAT is not the manufacturer, seller, contractor or agent in a transaction between users and suppliers.
Before ordering or specifying a product, independently assess suitability, availability, pricing, safety, testing, certification scope and local requirements. Any verification or badge applies only to the checks expressly described; it does not guarantee all claims, continued certification or fitness for your project.
Third-party purchases, samples, installation and professional services are governed by your agreement with the relevant provider. We are responsible for our own expressly agreed obligations, not a third party’s independent performance.
8. Sustainability Information And Reports
Estimates, comparisons, carbon calculations, recommendations and reports depend on the inputs, assumptions, methodology, boundaries and data available. They may be incomplete or change as information and methods change.
References to frameworks such as GRI, ISSB/IFRS or CSRD describe the stated functionality only. They do not establish that a report satisfies every applicable disclosure obligation or has been independently assured. MAT Impact labels or ratings reflect the methodology and scope disclosed for that label; they are not government approvals or independent building certifications unless expressly identified as such.
You are responsible for checking outputs and obtaining appropriate professional review before using them in statutory filings, public environmental claims, procurement commitments or other material decisions. ArchiMAT does not guarantee certification, regulatory acceptance, savings or environmental outcomes.
9. Ai And Connected Services
Where available, AI-assisted features may produce inaccurate or incomplete outputs. Review them before relying on them and do not use them as the sole basis for safety-critical or regulated decisions. Personal-information processing is explained in our Privacy Policy.
Optional integrations and third-party services may have separate terms and privacy notices. You authorise connections you or your administrators enable, within the permissions displayed. We cannot guarantee the continued availability of a third-party service.
10. ArchiMAT Intellectual Property
ArchiMAT and its licensors retain rights in the platform, software, branding and original materials, excluding Your Content and third-party materials. Subject to these Terms and your plan, we give you a limited, non-exclusive, non-transferable right to use the Services for your lawful internal business or professional purposes. No other licence is granted except as expressly stated or required by law.
11. Privacy And Customer Data
Our Privacy Policy explains our handling of personal information. Where we process personal information on your organization’s behalf, an applicable data processing agreement governs that processing. You are responsible for required notices, lawful instructions and permissions relating to personal information you provide. Acceptance of these Terms is not blanket consent to optional marketing or other processing requiring separate consent.
12. Availability And Changes
We aim to provide a reliable service, but maintenance, outages and third-party failures may interrupt availability. Any uptime guarantee or support commitment must be expressly included in your order or separate service agreement.
We may improve or change the Services. If we discontinue a material paid function during a prepaid term, we will provide reasonable notice and [PROPOSED REMEDY: a materially equivalent alternative or the right to cancel the affected service and receive a proportionate refund of unused prepaid fees]. Confirm this remedy before publication.
13. Suspension, Termination And Export
We may suspend or terminate access for a material breach, non-payment, unlawful activity or a significant security risk. Where reasonably practicable, we will explain the issue and give a reasonable opportunity to correct it. Immediate action may be necessary for urgent risks or legal requirements.
You may stop using the Services and cancel paid subscriptions through the process in section 3. Closing an account does not automatically cancel a subscription unless the closure process expressly confirms cancellation.
After termination, [STATE THE ACTUAL EXPORT METHOD, ELIGIBLE RECORDS AND EXPORT WINDOW] applies, except where access is prohibited by law or would create a material security risk. Data is then handled according to the Privacy Policy, applicable customer agreement and retention requirements. Keep copies of records you must retain independently.
Provisions intended to continue, including accrued payment obligations, ownership, liability limitations and dispute provisions, survive termination as applicable.
14. Warranties And Liability
We will provide the Services with reasonable care and skill. To the extent permitted by law, and except for express commitments in these Terms or your order, we do not promise uninterrupted or error-free operation or that every output will meet your particular requirements.
To the extent permitted by law, neither party is liable under these Terms for indirect or consequential losses, including indirect loss of profits, arising from use of the Services.
Proposed business-account liability cap, subject to legal review: Each party’s aggregate liability arising from these Terms is limited to the greater of USD 100 or the fees paid or payable by you for the affected Services in the 12 months before the event giving rise to the claim. This cap does not limit your obligation to pay valid fees, either party’s fraud or wilful misconduct, or liabilities that cannot lawfully be limited. [COUNSEL TO REVIEW APPROPRIATE TREATMENT OF CONFIDENTIALITY, DATA PROTECTION, IP INFRINGEMENT AND OTHER EXCEPTIONS.]
Nothing in these Terms excludes mandatory consumer rights, remedies or liabilities that cannot be excluded under applicable law. If those protections apply, they prevail over inconsistent wording here.
15. Governing Law And Disputes
These Terms are governed by the laws of [CONFIRMED JURISDICTION], subject to mandatory protections that apply to you. Contact [LEGAL/SUPPORT EMAIL] first so we can try to resolve a dispute. If unresolved, courts in [CONFIRMED VENUE] will have [EXCLUSIVE/NON-EXCLUSIVE] jurisdiction, except where applicable law gives you the right to bring proceedings elsewhere. No arbitration requirement or class-action waiver is included in this draft.
16. Changes To These Terms
We may update these Terms and will revise the date above. For material changes affecting existing users, we will give [NOTICE PERIOD AND METHOD] notice before they take effect unless a different period is legally required or urgent changes are necessary for legal or security reasons. Where required, we will obtain renewed acceptance. If you do not agree, you may stop using the Services and cancel; <[STATE REMEDY FOR MATERIAL ADVERSE CHANGES DURING A PREPAID TERM].
17. General And Contact
These Terms, your accepted order and any applicable data processing agreement form the agreement for the Services. A separately signed agreement prevails to the extent it expressly overrides these Terms; a data processing agreement prevails on its subject matter. If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. A failure to enforce a provision is not a waiver.
